Christina is the head of Meridian’s Canadian Executive Compensation practice and has been practicing in the area of executive and director compensation for more than 30 years. Her practice is focused on executive compensation with an emphasis on executive and director compensation; incentive program design; compensation risk; compensation governance and disclosure; and performance measure selection, development and assessment.
Christina has extensive experience providing executive compensation advice to companies that include large, multi-divisional public companies and large and small private companies. Christina provides nuanced advice that reflects her executive compensation experience, in the context of her legal background which includes tax, securities and TSX listing requirements.
Christina’s clients include companies in diverse industries including energy, mining, retail, manufacturing, food processing, grocery, transportation, energy, infrastructure, financial services, real estate, and communications, in both Canada and the U.S. She is a frequent writer and speaker on compensation issues. She has taught executive compensation at the Rotman ICD Directors certification course for more than 5 years and has written extensively about incentive arrangements, risk adjusted compensation and trends in compensation. Christina is on the ICD Ontario Executive Board. Christina was a partner at Davies, Ward, Philips and Vineberg and at Torys LLP for a combined 25 years, where she practiced in the areas of executive compensation, taxation, pension and benefits, and employment and labour law. She holds a J.D. and is ICD.D certified.
OVERVIEW
The current economic pressures make it more challenging than ever to appropriately compensate executives for their efforts and accomplishments, while providing alignment with shareholder experience and expectations. Management does some of their best and hardest work in a low commodity price environment, but long term incentive values are depressed by share price and outsized annual incentive payouts may get a very chilly reception from shareholders. Add to this the latest crusade against relative TSR and it becomes hard to find a clear path to retaining, motivating and aligning key talent:
